AURRA TERMS AND CONDITIONS

Effective Date: May 20, 2026

Welcome to the Aurra platform (“Platform”) operated by Aurra (“Aurra”, “we”, “our”, or “us”).

These Terms and Conditions (“Terms”) govern access to and use of the Platform, including related software, portals, digital workflows, manufacturing services, and related products.

By accessing or using the Platform, you (“Doctor”, “Provider”, “User”, or “Clinic”) acknowledge that you have read, understood, and agree to be bound by these Terms.


1. ELIGIBILITY

The Platform is intended solely for licensed dental professionals and authorized clinic personnel.

By using the Platform, you represent and warrant that:

  • You are legally authorized to practice dentistry or orthodontics in your jurisdiction;
  • You possess all required licenses, certifications, and professional liability coverage;
  • You have authority to submit patient data and treatment cases to Aurra.

Aurra reserves the right to verify credentials and suspend or terminate access at its sole discretion.


2. NATURE OF SERVICES

Aurra provides a digital workflow and manufacturing platform for clear aligner production and related dental appliance services.

Aurra’s services may include:

  • Digital case intake;
  • Treatment visualization tools;
  • Case management software;
  • Manufacturing coordination;
  • Production and delivery of aligners and retainers.

Aurra does not:

  • Practice dentistry or orthodontics;
  • Diagnose patients;
  • Prescribe treatment;
  • Provide clinical care;
  • Establish doctor-patient relationships.

Aurra functions solely as a manufacturing and digital support platform.


3. CLINICAL RESPONSIBILITY

The treating Doctor retains sole and exclusive responsibility for all clinical decisions and patient care.

The Doctor acknowledges and agrees that they are solely responsible for:

  • Patient examination and diagnosis;
  • Determining case suitability;
  • Obtaining informed consent;
  • Treatment planning;
  • Monitoring treatment progress;
  • Reviewing and approving all treatment setups and manufacturing prescriptions;
  • Managing complications, refinements, and patient outcomes.

Any simulations, visualizations, setup recommendations, artificial intelligence tools, or digital treatment representations provided through the Platform are informational only and do not constitute clinical advice.

Aurra expressly disclaims responsibility for clinical outcomes or treatment decisions.


4. CASE SUBMISSION REQUIREMENTS

The Doctor agrees that all submitted information shall be:

  • Accurate;
  • Complete;
  • Current;
  • Lawfully obtained.

Submitted materials may include:

  • Intraoral scans;
  • Photographs;
  • Radiographs/X-rays;
  • Prescriptions;
  • Patient demographic information;
  • Clinical notes.

The Doctor acknowledges that Aurra relies entirely upon the information submitted and is not responsible for inaccuracies, omissions, or errors in submitted data.

Aurra reserves the right to reject, delay, or request clarification for incomplete or unsuitable cases.


5. APPROVAL OF TREATMENT SETUPS

The Doctor is solely responsible for reviewing and approving all digital setups, staging, and manufacturing instructions prior to production.

Approval of a setup constitutes confirmation that:

  • The Doctor has independently reviewed the case;
  • The treatment plan is clinically appropriate;
  • Manufacturing authorization has been granted.

Once approved for manufacturing, modifications may not be possible.

Aurra shall not be liable for approved setups later deemed unsuitable by the Doctor.


6. MANUFACTURING & DELIVERY

Manufacturing timelines are estimates only and may vary depending on:

  • Case complexity;
  • Production capacity;
  • Shipping logistics;
  • Regulatory requirements;
  • Technical issues beyond Aurra’s control.

Aurra shall not be liable for delays caused by third parties, customs, shipping carriers, force majeure events, or technical interruptions.

Risk of loss transfers upon shipment.

Due to the custom manufacturing nature of aligners and dental appliances, minor variations in appearance, trim, fit, thickness, staging, or material characteristics may occur and shall not constitute a defect where clinically acceptable manufacturing standards have been met.


7. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Aurra shall not be liable for:

  • Clinical outcomes;
  • Tooth movement results;
  • Patient dissatisfaction;
  • Delays in treatment;
  • Complications arising from treatment;
  • Loss of revenue;
  • Indirect, incidental, consequential, special, or punitive damages.

Aurra’s maximum aggregate liability shall not exceed the amount paid for the specific product or case giving rise to the claim.


8. INDEMNIFICATION

The Doctor agrees to indemnify, defend, and hold harmless Aurra, its affiliates, officers, employees, contractors, manufacturing partners, and licensors from any claims, damages, liabilities, costs, or expenses arising from:

  • Clinical treatment decisions;
  • Patient care;
  • Improper use of the Platform;
  • Failure to obtain informed consent;
  • Regulatory violations;
  • Breach of these Terms.


9. DATA PRIVACY & CONFIDENTIALITY

Aurra processes submitted information solely for operational purposes including:

  • Case design;
  • Manufacturing;
  • Workflow management;
  • Quality assurance;
  • Platform improvement.

Aurra implements commercially reasonable safeguards to protect submitted information.

The Doctor acknowledges and agrees that:

  • Certain information may be transferred across provincial, national, or international borders;
  • Case information may be anonymized or assigned case numbers during processing;
  • Third-party service providers and manufacturing partners may assist in processing cases.

The Doctor remains responsible for ensuring lawful patient consent and authorization for data submission and transfer.


10. PAYMENT PROCESSING

Payment processing services are provided by third-party payment processors.

Aurra does not store full payment card information.

The Doctor agrees to pay all fees, charges, taxes, shipping costs, and applicable duties associated with orders submitted through the Platform.

Failure to pay may result in suspension of services or account termination.


11. PAYMENTS, REFUNDS & CHARGEBACKS

All products manufactured by Aurra are custom-made medical devices produced specifically for individual patients based upon Doctor-approved submissions.

The Doctor acknowledges and agrees that:

  • Charges may be processed upon case approval, submission, or commencement of manufacturing;
  • Once manufacturing or digital production services have commenced, services shall be deemed rendered;
  • Due to the customized nature of the products and services, refunds are not guaranteed.

Refunds, remakes, credits, or adjustments may be considered by Aurra on a case-by-case basis at Aurra’s sole discretion.

Aurra reserves the right to refuse refunds or credits where:

  • Manufacturing has commenced;
  • The Doctor approved the setup or prescription;
  • Incorrect or incomplete records were submitted;
  • The issue relates to clinical outcomes or treatment decisions.

Unauthorized chargebacks or payment disputes may result in:

  • Immediate suspension of account access;
  • Collection activity;
  • Refusal of future services.

Nothing in this section limits any rights that may apply under applicable consumer protection or healthcare laws.


12. ACCOUNT SECURITY

Users are responsible for:

  • Maintaining confidentiality of login credentials;
  • Restricting unauthorized access;
  • All activities occurring under their account.

Aurra shall not be liable for unauthorized account access resulting from compromised credentials or user negligence.

Users must notify Aurra immediately of suspected unauthorized use.


13. ACCEPTABLE USE

Users shall not:

  • Use the Platform unlawfully;
  • Upload malicious code or harmful content;
  • Attempt unauthorized access;
  • Reverse engineer or copy Platform technology;
  • Interfere with Platform operation;
  • Use the Platform in violation of professional regulations or laws.

Aurra reserves the right to suspend or terminate access for misuse.
